1. Scope of this EULA
This End User License Agreement ("EULA") is a legal agreement between you and ApeXhit LLC governing your installation and use of ApeXhit DBC (the "App"), including its installable Progressive Web App shell, icons, and manifest.
By installing the App to your device's home screen or app list, or by continuing to use it, you agree to be bound by this EULA. If you do not agree, uninstall the App and discontinue use.
2. License grant
Subject to your compliance with this EULA and our Terms of Service, ApeXhit LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and run the App on devices you own or control, solely for your own personal or business use in creating, managing, and sharing your digital business cards.
3. Restrictions
You agree that you will not, and will not permit any third party to:
- Copy, modify, translate, or create derivative works of the App;
- Reverse engineer, decompile, or disassemble the App, except to the extent such restriction is prohibited by applicable law;
- Sell, rent, lease, sublicense, distribute, or otherwise transfer the App or any rights granted herein to any third party;
- Remove, obscure, or alter any proprietary notices (including the ApeXhit name and logo) on the App or on card templates it generates;
- Use the App to generate cards, QR codes, or NFC payloads intended to mislead, impersonate, defraud, or transmit malicious content to a recipient;
- Use the App in any manner that could damage, disable, overburden, or impair it, or interfere with any other party's use of it.
4. Your Content remains yours
This EULA does not grant us any ownership interest in the contact information, photos, logos, or other content you enter into the App ("Your Content"). As described in our Privacy Policy, Your Content is stored locally on your device, and we do not claim any license to it beyond what is technically necessary to render it back to you within the App on your own device.
5. Ownership of the App
The App itself — its software, design, built-in templates, icon sets, and branding — is licensed, not sold. ApeXhit LLC and its licensors retain all right, title, and interest in and to the App, including all intellectual property rights therein. No rights are granted to you other than the limited license expressly set out in Section 2.
6. Updates
The App may periodically download and install updates automatically via its service worker to keep functionality current. You agree that this EULA will apply to all such updates unless a separate license is provided with the update.
7. Third-party components
The App is built using open-source and third-party software libraries (including, without limitation, Next.js, React, and libraries used for QR code generation/scanning, PDF export, and animation), each governed by its own license. Nothing in this EULA limits any rights granted to you under those open-source licenses.
8. No warranty
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or related to this EULA or the App shall not exceed one hundred U.S. dollars (US$100), and in no event shall we be liable for any indirect, incidental, or consequential damages, including loss of locally stored card data.
10. Term & termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms, or if you uninstall the App. Upon termination, you must cease all use of the App and remove it from your device(s). Because your card data is stored locally, uninstalling the App may also remove that locally-stored data depending on your browser/OS — back up your cards first using the Export Backup feature.
11. Governing law
This EULA is governed by the laws of the State of Florida, without regard to conflict-of-law principles, consistent with Section 13 of our Terms of Service.
